Tencent Officially Prices $5.7 Billion Dual-Currency Notes, with Dollar Coupons at 6.10% and 6.75%
Tencent officially announced pricing for $1.8 billion of dollar notes and RMB26 billion of offshore-yuan notes. Coupons are 6.10% and 6.75% for the 10- and 20-year dollar tranches and 2.40% and 3.00% for the 10- and 30-year yuan tranches, with issuance expected on October 21. Estimated net proceeds are $1.79 billion and RMB25.89 billion, while nominal annual coupon cash payments are $113.05 million and RMB660 million. Reuters reported orders above $23 billion, but the official use of proceeds is general corporate purposes and no direct AI-capex allocation is disclosed.
A. Key facts
Tencent confirmed in its October 14, 2026 filing that it entered subscription agreements on October 13, New York time, for $1.8 billion of dollar notes and RMB26 billion of offshore-yuan notes. The dollar portion comprises $1.3 billion due in 10 years and $500 million due in 20 years; the yuan portion comprises RMB20 billion due in 10 years and RMB6 billion due in 30 years.
Official terms are a 6.10% coupon and 99.859% offer price for the 10-year dollar notes, 6.75% and 99.880% for the 20-year dollar notes, 2.40% and 100% for the 10-year yuan notes, and 3.00% and 100% for the 30-year yuan notes. Maturity dates are October 21 of 2036, 2046, 2036 and 2056, respectively.
Issuance is expected on October 21, 2026, New York time, and Tencent intends to list the notes on the Hong Kong Stock Exchange. The notes are unsecured, unsubordinated general obligations, effectively subordinated to secured debt to the extent of collateral and structurally subordinated to liabilities of controlled entities. Unsatisfied conditions or termination rights could still prevent completion.
Reuters reported dollar orders above $7.4 billion and yuan orders above RMB105 billion, taking combined demand above $23 billion. Dollar spreads tightened by 25bp from initial guidance and yuan yields by 50bp.
B. Business significance · InveDeck interpretation
The official announcement confirms the key term-sheet figures and supplies previously undisclosed dollar coupons, offer prices, net proceeds and expected issuance date. More than four times coverage and tighter final pricing despite concern over AI returns and higher rates show that Tencent retains access to long-term funding.
Long maturities better align debt tenor with the payback period for rapidly rising investment in compute equipment, software and data centers. The trade-off is higher gross debt and fixed coupon obligations, increasing the importance of AI returns exceeding the cost of funding.
C. Quantifiable impact
Official estimated net proceeds after underwriting fees, discounts and commissions are $1.79 billion and RMB25.89 billion. At Reuters' RMB6.6937 per dollar exchange rate, that equals approximately $5.658 billion, about $26.4 million below the roughly $5.684 billion face-value equivalent. The FX conversion is an InveDeck calculation for comparison.
Nominal annual dollar coupon cash payments are $79.30 million on the 10-year tranche and $33.75 million on the 20-year tranche, or $113.05 million combined. Yuan payments are RMB480 million and RMB180 million, or RMB660 million combined. These are stated-coupon amounts and exclude fees, issue discounts, hedging, taxes and effective-interest accounting.
Combining more than $7.4 billion of dollar orders with more than RMB105 billion of yuan orders at the same Reuters exchange rate gives more than $23.09 billion of demand and coverage above 4.06 times face value. This is not the final third-party allocation ratio because books can change and include manager interest.
Excluding $1.576 billion of disclosed joint-lead-manager interest leaves an external-order floor above $5.824 billion, more than 3.24 times the $1.8 billion dollar issue. No external coverage is calculated for yuan because manager or proprietary interest was not separately disclosed.
Compared with June, final spreads on the 10- and 20-year dollar notes are 40bp and 55bp higher, while yields on the 10- and 30-year yuan notes are each 10bp lower. Different market rates and benchmarks mean this is not a clean measure of change in Tencent credit risk.
D. Link to earnings and expectations
Tencent's first-half 2026 capex was RMB96.3 billion, up 110% from RMB45.9 billion a year earlier. Q2 capex was RMB52.784 billion, up 176% year over year and 65% quarter over quarter. The face-value issue equals about RMB38.04 billion, or roughly 72% of Q2 capex.
Q2 operating cash flow was RMB52.7 billion, but FCF was negative RMB13.8 billion; FCF excluding compute-procurement prepayments was positive RMB37.6 billion. June-end net cash was RMB58.191 billion. The transaction is not an earnings-guidance change; it reinforces the financial buffer reduced by capex and prepayments with long-term debt.
E. Industry and supply chain · InveDeck interpretation
The official use of proceeds is general corporate purposes. Bloomberg previously reported use focused on AI capex and chip purchases, but actual allocation is undisclosed. The financing is supportive for GPUs and accelerators, HBM, servers, networking, storage, and data-center power and cooling, but it is not a confirmed order for any supplier.
Ten- to 30-year fixed-rate funding improves visibility for long-duration AI-infrastructure investment. A second large issue only four months after June also shows Tencent moving from internally funded AI capex toward a mix that includes external debt.
F. What to watch next

- Actual allocation among AI capex, chip purchases, refinancing and general corporate purposes
- Post-issue gross debt, net cash, finance costs and FX hedging
